Terms & Conditions

These terms govern your relationship with The Vision Corporation Holdings Ltd (the "Bank", "we", "our"), registered in England & Wales (Company No. 16767315). By opening or using an Account you agree to be bound by them. We act as an agent and distributor under regulated partners. We do not directly hold an EMI or VASP licence. All regulated financial and crypto services are delivered through our licensed partner institutions. Product availability varies by jurisdiction.

Digital Assets held in custody are not deposits and are not covered by any deposit-guarantee or investor-compensation scheme.

Definitions

"Bank", "we", "us", "our" means The Vision Corporation Holdings Ltd, a company incorporated in England & Wales (Company No. 16767315). "You", "Client", "User" means the natural or legal person that opens or uses an Account. "Services" means any product or feature made available in the Account dashboard. "Digital Assets" means cryptocurrencies, stablecoins, tokens and other blockchain-based assets supported by the Bank. "Fiat" means state-issued currencies (EUR, GBP, CHF and others enabled per jurisdiction). "Platform" means the web and mobile interfaces provided at thevisionbank.io and its subdomains.

Acceptance of Terms

By opening an Account, accessing the Platform, or using any Service you accept these Terms in full and confirm you have read the linked policies. Where you act on behalf of a legal entity you warrant that you are duly authorised to bind it. If you do not accept these Terms you must not use the Services.

Eligibility

Individual Accounts are available to natural persons aged 18 or over who are resident in a Permitted Jurisdiction and pass our onboarding, KYC and sanctions checks. Corporate Accounts are available to legal entities incorporated in a Permitted Jurisdiction and controlled by natural persons who themselves meet the individual eligibility criteria.

We may refuse, suspend or close any Account at our discretion where eligibility cannot be verified or maintained, or where continued service would breach applicable law or our internal risk appetite.

Account Registration

You must provide accurate, current and complete information during registration and keep it up to date thereafter. You are responsible for all activity conducted through your Account. Accounts are personal and non-transferable; you may not allow any third party to access or operate your Account except through the joint-access, business or family features we expressly provide.

Identity Verification (KYC)

Identity verification is mandatory before you may fund an Account, exchange, withdraw or use any regulated Service. We may request government-issued identification, proof of address, selfie verification, beneficial-ownership declarations, corporate constitutional documents and any additional evidence required to satisfy the Bank's Know-Your-Customer, Know-Your-Business and Customer Due Diligence obligations.

We may re-perform or refresh KYC at any time, including on a periodic basis, when your risk profile changes, or when required by law or our banking partners. Until verification is complete or refreshed, Service access may be restricted.

Source of Funds & AML

You warrant that all funds and Digital Assets you deposit are lawfully obtained and beneficially owned by you. On request, you will provide evidence of source of funds and source of wealth, including bank statements, payslips, tax returns, sale contracts, on-chain provenance or any other reasonable evidence.

We monitor Accounts and transactions for money laundering, terrorist financing, fraud and tax-evasion typologies. Suspicious activity may be reported to the relevant Financial Intelligence Unit and other competent authorities without prior notice, as required by law.

Sanctions Compliance

The Bank complies with UK, EU, UN and other applicable sanctions regimes, including primary and secondary sanctions of the United States where extraterritorial. You must not use the Services if you are located in, ordinarily resident in, or acting on behalf of any person or entity in a comprehensively sanctioned jurisdiction, or if you appear on any applicable sanctions or terrorism list.

We screen counterparties, beneficial owners, IP addresses and blockchain addresses against sanctions and PEP data. Payments or transfers to or from sanctioned persons or addresses will be blocked, rejected, or reported as required by law.

Permitted Jurisdictions

The Services are offered to residents of the European Economic Area, the United Kingdom and Switzerland. Availability of specific products (for example lending, earn, cards or certain Digital Assets) varies by country and may be restricted based on local licensing, tax treatment, sanctions, or the Bank's internal risk framework.

You are responsible for ensuring your use of the Services is lawful in your country of residence. Accessing the Platform from a jurisdiction where the Services are not offered — including by use of a VPN or other circumvention — is a breach of these Terms.

Account Security

You are responsible for safeguarding your credentials, devices, biometric factors, two-factor authenticators, passkeys and recovery information. Notify us immediately of any unauthorised access, lost device, or suspected compromise via security@thevisionbank.io.

We will never ask you for full passwords, seed phrases, private keys or one-time codes by phone, email or chat. Any such request should be treated as fraudulent and reported.

Digital Asset Custody

The Bank provides custody of supported Digital Assets through a combination of qualified sub-custodians, insured cold storage, and MPC-based wallet infrastructure. Client Digital Assets are recorded on segregated internal ledgers and, where applicable, on omnibus on-chain wallets whose beneficial ownership is attributable to Clients.

Digital Assets in custody are not deposits and are not covered by the UK Financial Services Compensation Scheme, national deposit-guarantee schemes, or any investor-compensation scheme. Proof-of-reserves attestations are published periodically.

Fiat Accounts

Fiat balances are held with regulated banking partners in dedicated safeguarding or client-money accounts, in accordance with the applicable safeguarding rules of each partner's home regulator. Fiat balances do not earn interest unless expressly enabled through a separate Earn product.

In the event of a failed transfer, incorrectly formatted IBAN, mismatched beneficiary name, or return by a corresponding bank, the Bank will use reasonable efforts to recover the funds. Return fees charged by intermediary banks and correspondent institutions are passed through at cost. Negative Fiat balances resulting from FX movements, reversals, or corrections must be settled promptly; the Bank may recover shortfalls from other balances in your Account.

Exchange Services

The Exchange lets you swap between supported Fiat and Digital Assets at quoted prices. Quotes are indicative until execution and incorporate a spread over the reference market price plus any disclosed fee. Execution prices depend on liquidity sourced from third-party liquidity providers, market makers and internal book matching, and may differ from public spot indices.

Orders may be delayed, partially filled, or rejected during periods of market volatility, illiquidity, engine maintenance, or where compliance controls trigger review. You accept execution risk and FX risk on all exchanges. Completed exchanges are final and are not subject to chargeback.

Earn Products

Earn products enable you to allocate eligible balances to yield-bearing strategies. Advertised yields are variable, gross of any fees, and not guaranteed. Earn products are not deposits, do not benefit from any deposit-guarantee scheme, and may expose you to counterparty, market, smart-contract and liquidity risk.

Redemptions may be subject to notice periods, unbonding periods (for staked assets), or unbonding fees. During redemption windows or protocol events (slashing, freezes, chain halts) redemption may be delayed or, in extreme cases, principal may be lost.

Lending Services

Crypto-collateralised loans are subject to loan-to-value ratios, margin-call thresholds, and liquidation levels disclosed at origination. If the value of your collateral falls such that the LTV exceeds the liquidation threshold, the Bank may liquidate all or part of your collateral without prior notice to protect the loan balance.

Interest accrues daily on outstanding principal at the rate disclosed at origination and is settled monthly or at repayment. Early repayment is permitted; prepayment fees, if any, are disclosed in the loan schedule. Missed or partial repayments may result in additional interest, collateral liquidation, or Account restrictions.

Payment Cards

Payment cards are issued through our regulated card-issuing partners. Card use is subject to the card scheme rules, the issuer's cardholder agreement, and these Terms. Available card types, currencies, spending limits, and cashback are disclosed in the card dashboard.

You must dispute unauthorised or incorrect card transactions promptly and in any event within the timeframe required by the applicable scheme rules. Cashback credits may be reversed where the underlying transaction is refunded, disputed, reversed, or found to be part of abuse of the cashback programme. Card use for prohibited merchant categories, gambling in restricted jurisdictions, or sanctioned merchants will be blocked.

Deposits

Fiat deposits must originate from a bank account held in your own name at a regulated institution in a Permitted Jurisdiction. Third-party deposits will be returned less any fees incurred. Digital Asset deposits must be sent on a supported network and asset; sending an unsupported asset, using an incorrect network, or omitting a required memo/tag may result in permanent loss of the deposit.

Deposits are credited after the applicable number of blockchain confirmations for the asset and network in question. Deposits below applicable net-of-fee minimums may be credited at the disclosed threshold, held pending review, or returned less network costs.

Withdrawals

Withdrawals are subject to compliance review, sanctions and KYT screening, balance verification, per-asset network rules, and any applicable travel-rule requirements. Withdrawals to newly added beneficiaries, unusual amounts, or previously unseen blockchain addresses may be delayed pending additional verification.

Blockchain transactions are, once broadcast and confirmed, generally irreversible. The Bank cannot recover Digital Assets sent to an incorrect external address, an incorrect network, or a contract that does not implement withdrawal. You are responsible for verifying beneficiary details before confirming a withdrawal.

Fees & Charges

Applicable fees, spreads, minimums, and limits are published in-app and at /fees. Fees may change with reasonable notice — no less than 30 days for fee increases affecting existing balances, except where a shorter period is required by law, by scheme rules, or by market conditions outside our control. Network fees for on-chain transfers are passed through at cost and shown at confirmation. FX spreads are disclosed at quote.

Taxes

You are solely responsible for determining, reporting and paying any taxes owed on your use of the Services, including income tax, capital-gains tax, VAT, wealth tax and any withholding obligations in your country of residence. The Bank may be required to report Account information under FATCA, CRS, DAC8 or similar frameworks and will do so where required.

Service Availability, Maintenance & Downtime

We aim for continuous availability but do not guarantee uninterrupted access. Scheduled maintenance is announced in advance where practicable; emergency maintenance may occur without notice to protect the integrity of the Platform. During downtime, certain Services (in particular real-time Exchange, withdrawals, and card authorisations) may be temporarily unavailable.

The Bank is not liable for losses caused by unavailability of the Platform, network congestion, chain halts, oracle failures, upstream banking-partner outages, or force majeure events.

Blockchain, Forks, Airdrops & Delisted Assets

Digital Assets rely on underlying blockchain networks whose behaviour is outside the Bank's control. You accept risks including but not limited to protocol bugs, 51% attacks, chain reorganisations, congestion, gas spikes, smart-contract exploits, oracle manipulation, and depeg events affecting stablecoins.

In the event of a hard fork, the Bank will decide, in its reasonable discretion and based on operational and legal feasibility, whether to support the new chain and how to credit resulting assets. Airdrops and unsolicited token distributions may or may not be supported; unsupported assets remain in the sole beneficial ownership of the underlying holders but cannot be accessed via the Platform.

The Bank may delist a Digital Asset at any time for regulatory, technical, security or commercial reasons. You will be given reasonable notice to convert, withdraw or otherwise deal with delisted balances; balances remaining after the notice period may be converted at prevailing market rates.

Third-Party Providers & Banking Partners

The Services depend on third-party banking partners, custodians, sub-custodians, card issuers, KYC/KYB providers, blockchain analytics providers, market makers and liquidity providers. Their acts, omissions, outages, or termination of services may affect the availability, pricing or execution of the Services. The Bank remains your counterparty for Services offered under these Terms but is not liable for third-party failures beyond its reasonable control.

Intellectual Property

All content, software, trademarks, logos, and design elements on the Platform are owned by or licensed to The Vision Corporation Holdings Ltd and are protected by intellectual-property law. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for the purpose of consuming the Services. No other rights are granted.

Limitation of Liability

To the maximum extent permitted by law, the Bank's aggregate liability arising out of or in connection with the Services is limited to direct losses caused by our gross negligence or wilful misconduct, and capped at the total fees paid by you to the Bank in the twelve months preceding the event giving rise to the claim.

The Bank is not liable for indirect, incidental, special, consequential or punitive losses, loss of profits, loss of business, loss of opportunity, or losses caused by market movements, network outages, force majeure, or third-party providers. Nothing in these Terms limits any liability which cannot be limited under applicable law, including for death or personal injury caused by negligence, or for fraud.

Indemnification

You agree to indemnify and hold harmless the Bank, its officers, employees and agents against any claim, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Services, your infringement of any third-party right, or your breach of applicable law.

Suspension, Termination, Frozen & Dormant Accounts

We may freeze, restrict, suspend or close your Account where required by law, by court or regulatory order, where we suspect fraud, money laundering, sanctions breach or breach of these Terms, where compliance reviews cannot be completed, or where continued service would be commercially or reputationally unreasonable.

Accounts that show no client-initiated activity for 24 consecutive months may be classified as dormant. Dormant Accounts may attract a dormancy administration fee and, where required by unclaimed-property law, remaining balances may be reported and remitted to the relevant authority.

On closure, we will return remaining Fiat balances via bank transfer to a verified account in your name, and Digital Assets to a verified external address you specify, in each case less any outstanding obligations, fees, taxes or liens.

Amendments

We may update these Terms. Material changes will be notified in-app or by email at least 30 days before they take effect, except where a shorter period is required by law, by scheme rules, or by exceptional market circumstances. Continued use of the Services after the effective date constitutes acceptance of the amended Terms.

Governing Law & Dispute Resolution

These Terms are governed by the laws of England & Wales. Subject to any non-waivable consumer rights in your country of residence, disputes are subject to the exclusive jurisdiction of the courts of England & Wales. Consumers may also have the right to bring proceedings before the courts of their country of residence and to complain to their local financial ombudsman or supervisory authority.
